Referral Program Terms and Conditions

These Referral Program Terms and Conditions (the “Program Terms”) govern participation in the TelyRx referral program (the “Program”). By enrolling in, sharing a referral link or code through, receiving a discount through, or otherwise participating in the Program, you agree to these Program Terms.
1. Program Administrator
The Program is offered and administered solely by TelyRx, Inc., a Delaware corporation (“TelyRx, Inc.,” “we,” “us,” “our,” or the “Program Administrator”). TelyRx, Inc. is not a health care provider, does not hold health care-related licenses, permits, or registrations in any jurisdiction, and is not involved in prescribing, dispensing, delivering, diagnosing, or providing any clinical or other health care-related services.
The Program is a promotional marketing program operated independently of any licensed pharmacy or health care provider. Participation does not create a provider-patient relationship between any participant and TelyRx, Inc.
2. Relationship to the TelyRx Platform Terms
These Program Terms apply only to the Program. Use of the TelyRx website, customer account, technology platform, pharmacy services, telehealth services, products, purchases, payments, communications, and related services remains subject to the applicable TelyRx Terms and Conditions, Privacy Policy, and other policies presented through the TelyRx platform (collectively, the “Platform Terms”).

If these Program Terms conflict with the Platform Terms regarding participation in the Program, these Program Terms control solely with respect to the Program. The Platform Terms continue to control all use of the TelyRx platform and all purchases and health care-related services.
3. Eligibility and Geographic Restrictions
The Program is available only to legal residents of the United States who are at least eighteen (18) years old and who otherwise satisfy the eligibility requirements stated in the applicable Program offer.
Residents of the following states are not eligible to participate as either a referring participant or a referred participant:
- California
- Florida
- Rhode Island
A participant’s state of residency will be determined using the billing or shipping address associated with the participant’s TelyRx account. Any referral link, discount code, or promotional benefit issued to or redeemed by a resident of an ineligible state is void.
We may verify residency and may block enrollment, prevent generation of referral links or codes, reject a discount at checkout, or cancel or revoke a Program benefit if a participant is ineligible. We may modify the list of ineligible states at any time, with or without notice, to reflect changes in applicable law or legal guidance.
4. How the Program Works
Eligible participants may receive a unique referral link or code to share with eligible individuals. The specific discount, qualifying activity, timing, expiration date, redemption limit, and any additional requirements will be described in the applicable Program offer, referral invitation, account experience, or discount communication.
A referral or discount qualifies only after all requirements stated in the applicable offer have been satisfied and verified. Creating an account, clicking a link, or attempting to place an order does not, by itself, guarantee eligibility for or issuance of any Program benefit.

5. Discount Codes and Exclusions
Discount codes issued through the Program are promotional offers of TelyRx, Inc. that may be applied toward eligible future purchases on the TelyRx platform, subject to these Program Terms, the applicable Program offer, and the Platform Terms.
- GLP-1 medications are excluded. Program discounts may not be applied to any GLP-1 medication or other excluded product identified at checkout or in the applicable offer.
- Program discounts may not be combined with any other discount, coupon, promotional code, promotional price, credit, or offer.
- Discount codes have no cash value and may not be redeemed for cash, sold, bartered, or exchanged.
- Discount codes are non-transferable except to the extent that the applicable Program expressly permits a participant to share a designated referral link or code.
- A discount does not guarantee that a medication will be prescribed, dispensed, available, or clinically appropriate.
- Taxes, shipping, consultation charges, or other fees may be excluded unless the applicable offer expressly states otherwise.
If more than one promotion could apply, TelyRx may apply the single eligible promotion that is accepted at checkout; promotions will not be stacked.
6. Prohibited Conduct
Participants may not misuse the Program. Prohibited conduct includes:
- creating duplicate, fictitious, fraudulent, or misleading accounts or identities;
- using a referral link or code for an unauthorized self-referral;
- misrepresenting residency, eligibility, a qualifying transaction, or the nature of the Program;
- buying, selling, publishing through unauthorized coupon sites, or commercially distributing referral links or codes;
- using bots, automated systems, scripts, data harvesting, paid search advertising, or other artificial means to generate referrals;
- making false, misleading, unsubstantiated, clinical, or health-related claims about TelyRx, any medication, or any health care service; or
- violating applicable law, these Program Terms, the Platform Terms, or the rights of another person.
We may investigate suspected misuse and may withhold, cancel, revoke, or decline to honor any Program benefit; suspend or terminate Program participation; suspend or terminate an account as permitted by the Platform Terms; or pursue any other available remedy.
7. Health Care Services Are Separate
Any health care services available through the TelyRx platform—including prescribing by independent licensed health care providers and dispensing by licensed pharmacies—are provided by entities or individuals separate and distinct from TelyRx, Inc. Program participation does not influence and does not guarantee any clinical decision, prescription, dispensing decision, or health care outcome.
Program benefits are not payment for or an inducement to select any particular health care provider, pharmacy, prescription, medication, or treatment. All clinical and dispensing decisions are made independently in accordance with applicable law and professional judgment.
8. Program Changes, Suspension, and Termination
To the fullest extent permitted by law, TelyRx, Inc. may modify, suspend, restrict, or discontinue the Program or any Program offer, benefit, eligibility rule, excluded product, or redemption requirement at any time. We may provide notice of material changes through the TelyRx platform, by email, in the Program experience, or by another reasonable method.
Unless prohibited by law, Program benefits are subject to the terms in effect when redeemed. No participant has a vested right in a future referral opportunity or discount that has not been issued and validly redeemed.
9. Privacy and Program Administration
Information collected in connection with the Program will be handled in accordance with the applicable TelyRx Privacy Policy and may be used to administer the Program, verify eligibility and residency, track referrals and qualifying activity, deliver communications and benefits, detect misuse, and comply with law.

10. No Warranties; Limitation
THE PROGRAM IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. TELYRX, INC. DOES NOT WARRANT THAT THE PROGRAM WILL BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR THAT ANY REFERRAL OR TRANSACTION WILL QUALIFY FOR A BENEFIT.
TO THE FULLEST EXTENT PERMITTED BY LAW, TELYRX, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE PROGRAM. NOTHING IN THESE PROGRAM TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
11. Governing Law
The Program and these Program Terms, including all rights and obligations of participants, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
12. General Terms
If any provision of these Program Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. Headings are for convenience only. Participants may not assign or transfer their rights or obligations under the Program. TelyRx, Inc. may assign its rights and obligations or engage service providers to administer the Program.
These Program Terms, together with the applicable Program offer and the incorporated Platform Terms, constitute the agreement governing Program participation. If a specific Program offer includes additional terms, those terms apply to that offer; these Program Terms control in the event of a conflict concerning general Program eligibility, exclusions, and participant conduct.
